1. Your Relationship with Deskroom

1.1 Your engagement with Deskroom's applications and website (https://deskroom.so), including Deskroom's mobile applications, mobile apps, software, data feeds, and services (collectively referred to as the "Service"), is governed by a legal agreement between you and "Closer Labs Inc." (herein referred to as "we," "us," "our," or "Deskroom") denotes Closer Labs Inc., located at  34, Mapo-daero, Mapo-gu, Seoul, Republic of Korea.

1.2 The legal agreement with Deskroom comprises (A) the terms and conditions in this document, and (B) Deskroom's Privacy Policy (http://www.deskroom.so/privacy), collectively known as the "Terms."

1.3 These Terms constitute a legally binding agreement between you and Deskroom concerning your use of the Service. Reading them thoroughly is crucial.

1.4 The Terms are applicable to all users of the Service, including those who contribute "Content" to the Service. "Content" encompasses metadata of saved web pages (or PDFs, videos), positions of highlights on saved web pages (or PDFs, videos), highlighted texts, images, comments on saved web pages (or PDFs, videos), tags, folders, and any other materials you may view, access, or contribute to the Service.

2. Accepting the Terms

2.1 Utilization of the Service necessitates your acceptance of the Terms. The Service is inaccessible to those who reject the Terms.

2.2 Acceptance of the Terms is signified by your utilization of the Service. Deskroom will regard your use of the Service as acceptance of the Terms henceforth.

2.3 The Service is off-limits if (a) you lack the legal capacity to enter into binding agreements with Deskroom, or (b) you are under legal prohibition from receiving or using the Service due to the laws of your country of residence or from which you access or use the Service.

2.4 For your reference, you are advised to print or save a local copy of the Terms.

3. Changes to the Terms

3.1 We reserve the right to amend this Agreement at any time. Should there be any modifications to the Terms of Service, we will announce such changes on our website or through Deskroom, or by other means of notification. You should review the Terms of Service before each use of Deskroom to stay informed of the current Agreement binding you. The effective date of the Agreement is indicated at the document's outset for your convenience, enabling you to determine if there have been updates since your last visit. Continuous use of Deskroom signifies your acceptance of the Agreement at the time of use. If the updated Terms of Service are unacceptable to you, discontinuing your use of Deskroom is your sole option. However, alterations to the Terms of Service will not affect any dispute between you and Deskroom that emerged before the date of such modification. These Terms of Service are subject to modification only in writing as described herein and cannot be altered verbally.

4. Deskroom Account

4.1 Access to certain features of the Website or other aspects of the Service requires a Deskroom account. You must ensure the information you provide while creating your account is accurate and complete. Maintaining the confidentiality and security of your Deskroom account password is essential.

4.2 Creating a user account or emailing us constitutes your consent to receive communications from us electronically. Our communication with you will be through email or by notices posted on the Deskroom website. You acknowledge that all agreements, notices, disclosures, and other communications we provide electronically meet any legal requirement for written communication. We may email you to notify you of updates to Deskroom or your Deskroom Premium subscription, about our products or services, or for other purposes we deem suitable.

4.3 You must immediately inform Deskroom of any security breach or unauthorized use of your Deskroom account that you become aware of.

4.4 You are solely responsible for all activities under your Deskroom account, towards Deskroom and third parties.

5. General Restrictions on Use

5.1 Deskroom grants you access to the Service under specific conditions. Your failure to comply with these conditions constitutes a breach of the Terms:

A. You must not distribute any part of the Website or Service, including Content, without Deskroom's prior written permission, except through features provided by the Service for distribution (e.g., the Deskroom sharing feature).

B. Modifying any portion of the Website or Service is prohibited.

C. Accessing Content must only be through the Website's webpages, Deskroom, or explicitly authorized means.

D. You must not bypass, disable, or interfere with any security features of the Service or features that prevent or restrict content use or enforce limitations on the Service or its content.

E. Commercial use of the Service without Deskroom's prior written consent is prohibited.

F. Automated systems that access the Service more frequently than a human can using a standard web browser are not permitted.

G. Content cannot be copied, distributed, transmitted, broadcast, sold, licensed, or exploited without Deskroom's prior written consent or the consent of the content's rightful licensors.

5.2 You must adhere to all other Terms during your use of the Service.

5.3 Deskroom continuously innovates for an optimal user experience, which means the Service may change without prior notice.

5.4 Deskroom may halt the Service (or any features within) at its discretion without prior notice. You are free to discontinue your use of the Service at any time without notifying Deskroom.

5.5 You bear full responsibility for any breach of your obligations under the Terms and the resultant consequences, which Deskroom is not liable for.

6. Copyright Policy

6.1 Deskroom enforces a strict policy regarding alleged copyright infringement.

6.2 Users repeatedly infringing copyright will have their access to the Service terminated.

6.3 To address copyright infringement, submit a removal notice through our support page. False claims may lead to legal liability.

6.4 Copyright removal requests must be from the copyright owner or their authorized agent.

6.5 Being featured in a photo does not grant you copyright ownership. For photo removal, consider a privacy complaint.

6.6 If your content was wrongly removed, you can file a counter-notice.

6.7 Deskroom typically does not hold copyrights to user-highlighted images. Obtain permission from copyright owners as needed.

7. Content

7.1 Content refers to the highlighted positions and annotations you create on webpages. Deskroom account holders may submit Content, which could be indexed by search engines.

7.2 You retain ownership of your Content but must grant limited licenses to Deskroom and its users.

7.3 You are solely responsible for your Content and its consequences. Deskroom disclaims liability related to the Content.

7.4 You affirm having necessary permissions for your Content's use by Deskroom and within the Service's scope.

7.5 Posting illegal content or content you're unauthorized to post is prohibited.

7.6 Ensure you have rights or permission for content involving third-party copyrights or proprietary rights.

7.7 Deskroom may remove Content or terminate access for violating these Terms at its discretion without notice.

7.8 You may encounter objectionable Content and waive any rights to seek remedies from Deskroom regarding such Content.

8. License Rights

8.1 By submitting Content to Deskroom, you grant:

A. Deskroom a worldwide, non-exclusive, royalty-free license to use your Content in connection with the Service and its promotion.

B. All users a non-exclusive, royalty-free license to access your Content through the Service as permitted by its functionality and these Terms.

8.2 Licenses end when you remove your Content. Licenses for textual comments are perpetual and irrevocable but respect your ownership rights.

9. Deskroom Content on the Website

9.1 Except for your Content, all Service Content is owned or licensed by Deskroom, protected by various rights. Content not submitted by you is the property of respective owners and cannot be used without Deskroom's or its licensors' consent. All rights not explicitly granted are reserved by Deskroom and its licensors.

10. Links from Deskroom

10.1 The Service may contain links to websites not owned or controlled by Deskroom. Deskroom does not have authority over, nor assumes responsibility for, the content, privacy policies, or practices of any third-party websites.

10.2 You acknowledge that Deskroom is not liable for the availability of external sites or resources, and does not endorse any advertising, products, or materials on such websites or resources.

10.3 You understand that Deskroom is not accountable for any loss or damage incurred as a result of the availability of those external sites or resources, or your reliance on the advertising, products, or materials on such sites.

10.4 Deskroom advises you to review the terms, conditions, and privacy policies of any other websites you visit.

11. Ending Your Relationship with Deskroom

11.1 The Terms remain in effect until terminated by either you or Deskroom as outlined below.

11.2 To terminate your agreement with Deskroom, you may do so by notifying Deskroom anytime and closing your Deskroom account. Notices should be sent in writing to Deskroom's email address.

11.3 Deskroom may terminate its agreement with you if:

A. You violate any Terms; or

B. Legal obligations necessitate termination.

11.4 Deskroom may also end its agreement with you if providing the Service to you is no longer viable or if it ceases Service in your region, with an attempt to notify you reasonably in advance.

11.5 Upon termination, ongoing legal rights, obligations, and liabilities remain unaffected.

12. Exclusion of Warranties

12.1 The Terms do not alter any statutory rights that cannot be waived contractually.

12.2 Deskroom is provided "as is" without warranties of any kind, including accuracy or availability. We disclaim all warranties, including for merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

13.1 Deskroom's liability for losses not lawfully excluded or limited.

13.2 Deskroom is not liable for indirect losses, including loss of profit, reputation, opportunity, or data.

13.3 Deskroom is not responsible for losses arising from your use of the Service, including data loss or account information inaccuracies.

14. Purchasing

14.1 You agree to provide billing information and authorize payments through third-party processors. Subscription fees for Deskroom Premium are automatically renewed unless canceled.

14.2 No refunds are offered. EU, UK, or Turkey residents may receive a refund if canceling within 14 days of purchase.

14.3 You may cancel your subscription anytime. Failure to pay may result in service downgrade or suspension.

15. Credits

15.1 Credits are service-related rewards that can be used towards subscriptions. Credits expire under certain conditions and cannot be refunded or transferred.

16. Access by Children

16.1 Device providers for children under 13 in the U.S. must comply with COPPA and FERPA. Deskroom is not intended for those under 13 without parental consent.

17. Information You Provide

17.1 Our Privacy Policy details how your information is used. You must provide accurate Registration Data and maintain the security of your account.

18. Community

18.1 Community allows members to share and communicate. Inappropriate or illegal content may be removed, and Deskroom is not liable for copyright infringement within community content.

19. General Legal Terms

19.1 The Terms are the complete agreement between you and Deskroom. Failure to enforce rights does not waive them. Only related companies to Deskroom may enforce these Terms as third-party beneficiaries.

20. General Legal Terms

20.1 Legal documents may be served via email or courier if you reside outside the headquarters country. Disputes are governed by the laws of the headquarters country, and you agree to jurisdiction there for resolving disputes.
